Confidentiality is a process, not merely a promise. The buyer should identify protected information in writing, restrict access to people who need it for the project, use controlled file transfers, and record when files are shared. A non-disclosure agreement can define confidential information, permitted use, exclusions, duration, return or deletion duties, and remedies. It should also address photographs, samples, molds, CAD files, technical drawings, pricing, and packaging artwork. Confidentiality protection is stronger when the brand can demonstrate reasonable safeguards, because trade-secret regimes generally depend on information being secret and subject to reasonable steps to preserve secrecy. Legal requirements differ by jurisdiction, so the agreement should be reviewed for the countries involved.

Ownership depends on the written development and production agreement; it does not automatically follow the party that paid an invoice. The agreement should prohibit copying, selling, displaying, sampling, manufacturing, or disclosing the specified design outside the buyer's project, while defining permitted manufacturing activities. Brands should consider design registration before public disclosure where available, preserve dated development records, and monitor marketplaces for unauthorized listings. A qualified intellectual-property lawyer should assess enforceability in each relevant market.

Before sampling, the agreement should identify the parties, protected materials, permitted purpose, ownership or license terms, confidentiality period, access limitations, subcontractor obligations, sample and mold ownership, file-return or deletion duties, approval authority, and consequences of unauthorized use. It should also cover photographs, social-media publication, factory tours, exhibitions, and product listings because visual disclosure can occur outside formal production. Define the exact version of the design being approved and establish a change-control process for later revisions. Governing law, dispute venue, notices, evidence, and injunctive-relief provisions may affect practical enforcement. A purchase order should not silently contradict the main agreement; all commercial documents need consistent definitions.

Use a controlled approval record that links each design version to a file name, revision number, date, materials, dimensions, finish, stone or component specification, images, and approving person. Keep signed or authenticated sample approvals, inspection comments, change requests, and final production instructions in one accessible record. A change log should show who requested the change, why it was made, which version replaced it, and whether a new sample or test was required. Avoid relying on informal chat messages as the only evidence. Before bulk production, reconcile the approved sample with the purchase order, bill of materials, packaging artwork, and inspection criteria. This documentation supports quality claims and helps distinguish authorized changes from unauthorized deviations.

Start by mapping the information flow: design owner, development contact, CAD operator, sample workshop, casting or forming facility, finishing provider, packer, and logistics parties. Disclose only the files each participant needs, mark sensitive documents, and require equivalent confidentiality and use restrictions in downstream agreements. The primary supplier should disclose whether subcontracting is used and remain responsible for unauthorized access under the agreed terms. Separate customer-identifying artwork from technical files where practical, and control downloads, revisions, photographs, and physical sample movement. For high-value designs, consider staged disclosure, watermarking, serialized samples, access logs, and pre-production audits. These controls reduce exposure but cannot replace enforceable contracts, registrations where appropriate, and active monitoring.
